Welcome to ChalkWide. These Terms and Conditions govern your use of our school management platform. By accessing or using ChalkWide, you agree to be bound by these terms.

Agreement to Terms

By creating an account, accessing our website, or using our mobile applications (iOS or Android), you agree to comply with and be bound by these Terms and Conditions and our Privacy Policy.

If You Disagree: If you do not agree with any part of these terms, you must not use ChalkWide services.

Age Requirement: You must be at least 18 years old or have parental/guardian consent to use ChalkWide. Schools are responsible for ensuring compliance with age requirements for their staff users.

Authority to Bind: If you're using ChalkWide on behalf of a school or organization, you represent that you have authority to bind that entity to these terms.

What ChalkWide Provides

ChalkWide is a cloud-based school management platform that enables education groups to manage multiple schools including student information, fee collection, transport operations, academic structure, and financial reporting.

Platform Access: Available through web browsers and native mobile applications for iOS and Android devices.

Service Availability: We strive for 99.5% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

Updates & Changes: We may modify, suspend, or discontinue any feature or service at any time with reasonable notice to users.

Creating Your Account

Accurate Information: You must provide accurate, current, and complete information during registration and keep your account information updated.

Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

Unauthorized Access: Notify us immediately at support@chalkwide.com if you suspect unauthorized access to your account.

One Account Per User: Each user must have their own account. Sharing login credentials is prohibited and may result in account suspension.

Account Termination: We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent, abusive, or illegal activity.

Usage Credits

Credit Allocation: Super admins allocate credits to schools, who distribute them to staff members for platform access.

Credit Expiry: Credits expire 30 days after allocation to employees. Expired credits automatically disable access to restricted features.

No Refunds: Credits are non-refundable once allocated. Unused credits at subscription end are forfeited.

Subscription Plans

Payment Terms: Subscriptions are billed monthly or annually based on your selected plan. Payment is due in advance.

Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before renewal date.

Price Changes: We may modify subscription pricing with 30 days advance notice. Changes apply at your next renewal period.

Cancellation: You may cancel your subscription anytime through account settings. Access continues until the end of your current billing period.

Your Obligations

Lawful Use: Use ChalkWide only for lawful purposes and in compliance with all applicable laws and regulations.

Data Accuracy: Ensure all information entered into the platform (student records, financial data, etc.) is accurate and up-to-date.

Content Standards: Do not upload content that is illegal, defamatory, obscene, discriminatory, or violates intellectual property rights.

Your Data Rights

Data Ownership: You retain all ownership rights to data you enter into ChalkWide including student records, financial information, and school data.

Our Rights: You grant us a limited license to host, store, process, and display your data solely to provide ChalkWide services.

Data Backup: We perform automatic backups every 6 hours but recommend you maintain your own backup copies of critical data.

Data Export: You may export your data in CSV or PDF format anytime through the platform.

Data Deletion: Upon account termination, your data will be deleted within 90 days unless legally required to retain it longer.

Platform Usage Data

Analytics: We collect anonymized usage data to improve platform performance and develop new features.

Aggregated Data: We may use aggregated, de-identified data for research, marketing, and product development without restriction.

Our Rights

Platform Ownership: ChalkWide owns all rights, title, and interest in the platform including software, design, trademarks, logos, and documentation.

Trademarks: "ChalkWide" and our logo are trademarks. You may not use them without written permission.

Limited License: We grant you a non-exclusive, non-transferable license to use ChalkWide during your subscription period.

Restrictions: You may not copy, modify, distribute, sell, or create derivative works based on ChalkWide software or content.

Feedback & Suggestions

Voluntary Contributions: Any feedback, suggestions, or ideas you provide become our property and may be used without compensation or attribution.

External Integrations

Third-Party Providers: ChalkWide uses third-party services including AWS (hosting), payment processors, and analytics tools.

Separate Terms: Third-party services have their own terms and privacy policies. We're not responsible for their practices or actions.

Payment Processing: Payment card information is processed by third-party payment gateways. We do not store complete card details.

External Links: Our platform may contain links to external websites. We're not responsible for content or practices of third-party sites.

Service Disclaimers

"As Is" Basis: ChalkWide is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for purpose, or non-infringement.

Data Loss: While we implement backup systems, we're not liable for data loss, corruption, or unauthorized access resulting from technical failures, security breaches, or user error.

Service Interruptions: We're not responsible for service interruptions caused by internet outages, server failures, maintenance, or circumstances beyond our control.

Liability Limits

Maximum Liability: Our total liability for any claims related to ChalkWide is limited to the amount you paid us in the 12 months preceding the claim.

Excluded Damages: We're not liable for indirect, incidental, consequential, or punitive damages including lost profits, data loss, or business interruption.

Exceptions: Nothing in these terms excludes liability for death, personal injury, fraud, or gross negligence where prohibited by law.

You agree to indemnify and hold ChalkWide, its affiliates, officers, employees, and agents harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these terms
• Your misuse of the platform
• Content you upload or data you enter
• Your violation of applicable laws or third-party rights
• Unauthorized access resulting from your failure to secure credentials

Data Practices

Privacy Policy: Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these terms.

Student Data: Schools are responsible for obtaining necessary consents before entering student data. We act as a data processor on behalf of schools.

Security Measures: We implement industry-standard security measures but cannot guarantee absolute security. See Privacy Policy for details.

Compliance: Schools must ensure their use of ChalkWide complies with applicable data protection laws including obtaining parental consent for minors.

Account Closure

By You: Cancel your subscription anytime through account settings. Access continues until current billing period ends.

By Us: We may suspend or terminate your account immediately if you violate these terms, engage in fraudulent activity, or fail to pay subscription fees.

Survival: Sections on intellectual property, liability limitations, indemnification, and dispute resolution survive termination.

Changes to Agreement

Updates: We may modify these Terms and Conditions at any time to reflect changes in our services, legal requirements, or business practices.

Notification: Material changes will be notified via email or prominent platform notice at least 30 days before effective date.

Acceptance: Continued use of ChalkWide after changes take effect constitutes acceptance of modified terms.

Right to Reject: If you disagree with changes, you may cancel your subscription before the effective date.

Governing Law

These terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of courts in [Your City/State].

Resolution Process

Informal Resolution: Before filing legal action, contact us at legal@chalkwide.com to attempt informal resolution. We'll respond within 15 business days.

Mediation: If informal resolution fails, parties agree to attempt mediation before litigation.

Arbitration: Disputes may be resolved through binding arbitration in accordance with Indian Arbitration and Conciliation Act, 1996.

Class Action Waiver: You agree to resolve disputes individually, not as part of class or representative actions.

Miscellaneous Terms

Entire Agreement: These terms, along with our Privacy Policy, constitute the entire agreement between you and ChalkWide.

Severability: If any provision is found unenforceable, remaining provisions continue in full effect.

No Waiver: Our failure to enforce any right or provision doesn't constitute a waiver of that right.

Assignment: You may not transfer your rights under these terms. We may assign our rights to affiliates or successors.

Force Majeure: We're not liable for delays or failures caused by circumstances beyond reasonable control including natural disasters, wars, or government actions.

Notices: Legal notices must be sent to legal@chalkwide.com or our registered address. We'll send notices to your registered email.

Language: In case of translation conflicts, the English version of these terms prevails.
